General Terms and Conditions of Business

1. Introduction

This document, henceforth referred to as the “Terms of Business,” defines the operational framework and mutual obligations between you, “the Client,” and Spacetag Limited, also referred to as “the Company,” “we,” “us,” or “our.” Before deciding to engage our services, we encourage you to read and understand these terms thoroughly. Spacetag Limited is a company registered in England and Wales – company number 12881191. These terms apply to all Sites owned and operated by Spacetag Limited, including spacetag.co.ukspacetagcloud.com and numberator.com.

2. Scope of Agreement

By choosing to use our services, you agree to these Terms of Business. As a dynamic organisation, we may deem it necessary to amend these terms periodically, without issuing prior notice. Your continued engagement with our services post any such updates constitutes an acceptance of the modifications.

3. Provision of Services

The Company provides consultancy and project-based services, the specifics of which are detailed on our website or as outlined in a formal written proposal. We reserve the right to refuse service to any individual or entity for any reason, at our discretion.

4. Pricing and Payment Terms

The cost of our services will be detailed in our written proposal. The payment for these services is expected to be settled within 30 days of the issued invoice date unless an alternative agreement has been reached. Failure to remit payment within the designated period may result in a suspension of our services.

All fees and costs will be subject to VAT (where applicable) at the prevailing rate on the day of invoicing.

5. Third-Party Hardware, Equipment, or Services

In the event we purchase third-party hardware, equipment, or services on behalf of the Client, the Client must reimburse us within the agreed terms. We do not accept any responsibility for the performance or functionality of such equipment, hardware, or services, and all terms including warranties will be flowed down from the original supplier to the Client.

6. Recommendation of Third-Party Products and Services

We may, at times, recommend and/or supply third-party products or services. However, such recommendations or supply are made in good faith and do not imply our endorsement. We shall not be held liable for any issues arising from the use of such products or services.

7. Confidentiality Obligations:

Both parties mutually agree to maintain the confidentiality of all information obtained from the other party in the course of our engagement, barring information that is already in the public domain or acquired from a third-party legally.

8. Intellectual Property Rights

Unless a different agreement is reached, all materials created by the Company as part of our services will remain our intellectual property. The Client is granted a licence to use these materials solely for the purpose for which they were designed and provided.

Note that the brands “Spacetag” ® and “SPACEtag” ® is a trademark registered with the UK Intellectual Property Office.

9. Data Protection Compliance:

We adhere to all applicable data protection laws within the United Kingdom, and undertake all reasonable measures to safeguard your personal information.

10. Limitation of Liability

Our liability, in relation to any claim arising from our services, shall be restricted to the quantum of fees paid by the Client for said services.

11. Termination of Agreement

This agreement may be terminated by either party by issuing a 14-day written notice. In the event of early termination initiated by the Client, the fees for work that has been completed up until that point will remain payable.

12. Dispute Resolution:

We firmly believe in resolving disputes through amicable negotiations. If, however, a consensus can’t be reached, the dispute will be referred to mediation before proceeding to court.

13. Governing Laws and Jurisdiction

These terms are subject to the laws and jurisdiction of the United Kingdom.
